These Terms of Service ("Terms") govern your access to and use of Falconer AI's services, including our web and IDE-integrated applications, APIs, and related software and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you are accessing or using the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" and "your" refer to that entity.

1. Overview of Services

Falconer AI provides an AI-powered knowledge management platform designed for engineering teams. The Services include automatic ingestion, structuring, and maintenance of institutional knowledge, AI-driven semantic search, writing assistance within tools like VS Code, and integrations with platforms such as Slack, Google Docs, and GitHub.

2. Eligibility and Accounts

You must be at least 18 years old and have the authority to enter into these Terms. To use the Services, you may need to register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your login credentials and for any activity under your account.

3. Use of Services

Subject to your compliance with these Terms, Falconer AI grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services solely for your internal business purposes.

You agree not to:

  • Use the Services in violation of any applicable laws or regulations
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms underlying the Services
  • Interfere with the operation or performance of the Services
  • Use the Services to infringe upon the intellectual property or privacy rights of any third party

4. Customer Data

You retain all rights to any data, information, and content submitted to the Services ("Customer Data"). Falconer AI may process Customer Data solely to provide, maintain, and improve the Services, in accordance with our Privacy Policy.

You represent and warrant that you have all necessary rights and permissions to provide Customer Data to Falconer AI and that such data does not violate any applicable laws or rights of third parties.

5. Security and Data Protection

Falconer AI implements industry-standard security practices, including encryption of Customer Data at rest and in transit, role-based access controls, regular backups, and incident response protocols. For more details, see our Security Overview or contact us.

6. Service Commitments and Availability

Falconer AI strives to provide reliable, secure, and continuously available services. We may publish a Service Level Agreement (SLA) that sets forth specific uptime and support commitments.

However, Falconer AI does not guarantee that the Services will be uninterrupted or error-free. Temporary interruptions may occur due to maintenance, upgrades, or failures of third-party providers.

7. Subprocessors and Third Parties

You acknowledge that Falconer AI uses third-party services (e.g., AWS, OpenAI, Slack) to host infrastructure and support functionality. A current list of subprocessors is available upon request. Falconer AI is not responsible for acts or omissions of these subprocessors beyond our contractual controls.

8. Fees and Payment

Unless otherwise agreed in writing, use of the Services may be subject to subscription fees. All fees are non-refundable except as expressly stated in a written agreement or required by law.

Late payments may incur interest or suspension of access to the Services. You are responsible for all taxes and duties associated with your purchase.

9. Intellectual Property

Falconer AI retains all right, title, and interest in and to the Services, including all software, data, algorithms, documentation, and branding. You may not use Falconer AI's name or logo without our prior written consent.

10. Confidentiality

Each party agrees to protect the other party's confidential information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Confidential information includes technical, business, or personal information not publicly disclosed.

11. Termination

You may stop using the Services at any time. Falconer AI may suspend or terminate your access to the Services if you violate these Terms or if continued access poses a security or operational risk.

Upon termination, we may delete your account and associated data, except where retention is required by law or agreed in writing.

12. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." FALCONER AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE EXTENT PERMITTED BY LAW, FALCONER AI'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO FALCONER AI IN THE 12 MONTHS PRIOR TO THE CLAIM.

13. Indemnity

You agree to indemnify and hold harmless Falconer AI and its officers, employees, and agents from and against any claims, liabilities, damages, and expenses arising from your use of the Services or violation of these Terms.

14. Modifications

We may update these Terms from time to time. We will provide notice of material changes through the Service or via email. Continued use of the Service after such updates constitutes your agreement to the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, excluding its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in San Francisco, California.
